Terms of business

These are the standard terms on which JCS Advisory Limited, trading as FounderProof Advisory (“FounderProof”, “we”), provides services to clients (“you”). Each engagement is also governed by a written scope — the deliverable, the fixed price, the start date and the checkpoints — signed by both parties before work begins. If the scope and these terms conflict, the scope prevails.

We provide the Revenue Leakage Assessment, the Diagnostic, FounderProof Flex and related process-engineering, HubSpot and AI advisory work as described on this website and in the signed scope. We are independent: we are not a HubSpot Solutions Partner and receive no commission or referral fee on any software you buy.

Fees are fixed and stated in the scope before any work starts; there are no hourly rates and no unquoted extras. The Assessment is invoiced in full at the start. The Diagnostic is invoiced 50% at the start and 50% after the 30-Day Value Checkpoint. Flex is invoiced monthly against the agreed deliverable. UK clients are invoiced in pounds sterling and Irish clients in euro, VAT where applicable. Invoices are payable within 14 days unless the scope says otherwise. Agreed travel is itemised at cost and never marked up.

A confidentiality agreement — yours or ours — is signed before we are given access to any of your data or systems. We treat everything we learn about your business as confidential during and after the engagement, and we only describe client work publicly in anonymised form or with your written agreement.

We work through named user accounts with the least access needed, never export your data to personal devices, and remove our access at the end of the engagement. We process personal data in your systems only on your instructions and in line with our privacy notice.

Every process, standard, workflow, report and document we build for you is created in your systems, under your accounts, and belongs to you once the related invoice is paid. Our methods, frameworks, templates and know-how remain ours; you may use them within your own business without restriction.

The work depends on timely access to the people, systems and data described in the scope. Where access is delayed, dates move accordingly; the fixed price does not change without written agreement from both sides.

The Assessment and the Diagnostic end when the deliverable in the scope is handed over. Flex is a rolling monthly engagement and either side may end it with 30 days’ written notice. The practice takes four full weeks a year; Flex clients are given eight weeks’ notice and are billed at 50% for any month that includes a break.

We take care over our advice, but decisions about your business remain yours, and we do not guarantee any particular financial result. Our total liability under an engagement is limited to the fees you have paid for it, except for liability that cannot be limited by law. Neither party is liable to the other for indirect or consequential loss.

These terms are governed by the laws of Ireland and the Irish courts have jurisdiction, unless the scope for a UK client states that the laws of England and Wales apply. Questions about these terms go to calvin@founderproof.com.
